Note: This English version is provided for information purposes only. The German version is the sole legally binding version. In the event of any discrepancy, the German version shall prevail.
1. Subject Matter and Scope
1.1. RR Digital Solutions GmbH, Maximinplatz 1, 56856 Zell (Mosel), Germany (hereinafter: RRDS) provides registered users with an online platform, irrespective of its designation at any given time (hereinafter: PLATFORM). Via the PLATFORM, users may – depending on activation – access in particular product overviews, prices and conditions, ordering and order-management functions, reports, dashboards, metrics and further functions provided by RRDS. RRDS determines the scope of functions and may extend, modify, restrict or discontinue functions at any time.
1.2. These Terms of Use govern exclusively access to and use of the PLATFORM. Orders placed via the PLATFORM or outside the PLATFORM are governed by the General Terms and Conditions of RRDS in the version in force at the time the respective order is placed (available at rrds.de/agb/). In the event of a conflict, the General Terms and Conditions prevail for orders. Services provided by publishers to RRDS are governed by the agreements concluded separately for this purpose.
1.3. Use of the PLATFORM is free of charge unless otherwise agreed.
2. Users and Roles
2.1. Users of the PLATFORM may only be entrepreneurs (Unternehmer) within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law or special funds under public law. By registering, the user confirms that it is acting in the exercise of its commercial or independent professional activity.
2.2. RRDS activates users in the role of CUSTOMER (clients or prospective clients for RRDS services) or PUBLISHER (operators of websites that publish articles on behalf of RRDS). The role and the scope of activated functions are determined by RRDS and may be adjusted by RRDS at any time.
2.3. There is no entitlement to registration or activation. RRDS decides at its own discretion and may reject a registration without giving reasons.
3. Registration and Access Credentials
3.1. The user provides truthful and complete information upon registration and keeps it up to date.
3.2. Access is linked to the email address of a natural person. Login codes and login links are personal and must not be passed on. The user ensures that only the user has access to the mailbox used. The user is liable for actions taken via its access to the extent it is responsible for them. Any suspicion of misuse must be reported to RRDS without undue delay in text form (Textform).
3.3. Further persons of a company receive their own access. If an authorised person leaves the company or their access is to end, the user notifies RRDS without undue delay; RRDS blocks the access.
3.4. RRDS documents the user's acceptance of these Terms of Use by recording the accepted version (date and URL), the time of acceptance and the user's email address. This documentation serves as evidence of incorporation and is stored for the duration of access and thereafter for the duration of statutory limitation and retention periods.
4. Right of Use and Permitted Use
4.1. RRDS grants the user, for the duration of activation, a non-exclusive, non-transferable, non-sublicensable and revocable right to use the PLATFORM for its own business purposes within the business relationship with RRDS.
4.2. The following in particular are prohibited: (a) automated queries, scraping, crawling or other systematic extraction of content; (b) reverse engineering, decompilation or circumvention of access and security mechanisms; (c) introducing malicious code or interfering with the functionality of the PLATFORM; (d) using the PLATFORM or its content to build, support or benchmark competing offers; (e) disclosing content of the PLATFORM to third parties beyond the limits of Clause 5.
4.3. All rights in the PLATFORM, its software, its databases (Sections 87a et seq. of the German Copyright Act, UrhG), its design and its content remain with RRDS or the respective rights holders.
5. Confidentiality
5.1. All non-public information accessible via the PLATFORM is confidential (hereinafter: CONFIDENTIAL INFORMATION). Of this, the following constitute trade secrets of RRDS within the meaning of the German Trade Secrets Act (GeschGehG): prices, conditions and discounts of RRDS, data on site operators and domains including their conditions, and customer and order data. Other CONFIDENTIAL INFORMATION includes in particular product and service overviews, metrics and reports, and the structure and functional scope of the PLATFORM.
5.2. The user undertakes to use CONFIDENTIAL INFORMATION exclusively for initiating and performing its own business with RRDS, not to disclose it to third parties, not to publish it and not to reproduce or store it beyond the purpose of the contract. The user makes CONFIDENTIAL INFORMATION available only to those employees and advisers who require it for the business relationship with RRDS and binds them to confidentiality in the same manner.
5.3. CUSTOMERS may not use information about site operators, domains and their conditions obtained via the PLATFORM to commission site operators, or have them commissioned, by circumventing RRDS. PUBLISHERS may not use information about CUSTOMERS, their target URLs and order volumes obtained via the PLATFORM to approach CUSTOMERS or offer them services by circumventing RRDS. Business relationships that demonstrably exist or arise independently of the PLATFORM remain unaffected.
5.4. The obligations under this Clause 5 do not apply to information that is demonstrably publicly available or becomes so without breach of this Clause, was already known to the user before access, was obtained from a third party entitled to disclose it, was independently developed, or must be disclosed by law or official order; in the latter case, the user informs RRDS without undue delay in text form.
5.5. The confidentiality obligation applies without limitation in time to the trade secrets designated in Clause 5.1 and, for other CONFIDENTIAL INFORMATION, until five years after termination of access.
5.6. Upon termination of access, the user deletes all stored CONFIDENTIAL INFORMATION unless legally obliged to retain it, and confirms this to RRDS in text form on request.
5.7. Upon the user's acceptance of these Terms of Use, this Clause 5 replaces any confidentiality agreement previously concluded between RRDS and the user with respect to the PLATFORM.
6. Orders via the PLATFORM
6.1. Product and price information on the PLATFORM is subject to change and does not constitute an offer by RRDS. An order placed by a CUSTOMER via the PLATFORM is an offer to conclude a contract; the contract is concluded only upon confirmation by RRDS in accordance with the General Terms and Conditions.
6.2. An order is subject to the prices and conditions displayed on the PLATFORM at the time of the order. RRDS may change prices and conditions at any time with effect for future orders.
6.3. The display, allocation or processing of orders via the PLATFORM does not entitle PUBLISHERS to be awarded orders. Remuneration and conditions for services of PUBLISHERS are governed by the agreements concluded separately for this purpose.
7. Availability, Changes and Support
7.1. RRDS provides the PLATFORM without any commitment to a particular level of availability. RRDS may temporarily restrict or shut down the PLATFORM at any time for maintenance, updates or other reasons and may discontinue operation in whole or in part.
7.2. Individual functions may be provided as test or preview versions. Such functions are provided without warranty as to functionality, completeness or accuracy.
7.3. There is no entitlement to support, training or customisation of the PLATFORM.
8. Metrics, Third-Party Data and Liability
8.1. Metrics displayed on the PLATFORM (e.g. visibility, traffic or authority scores of domains) are based in whole or in part on third-party data and on estimates. RRDS does not warrant their accuracy, currency or completeness; they do not constitute a warranted characteristic of any service.
8.2. The user is responsible for backing up its own data that it enters into or extracts from the PLATFORM.
8.3. RRDS is liable without limitation in accordance with the statutory provisions in cases of intent and gross negligence on the part of RRDS, its legal representatives or vicarious agents, for injury to life, body or health, for fraudulent concealment of a defect, under a guarantee assumed and under the German Product Liability Act.
8.4. In cases of slightly negligent breach of material contractual obligations, RRDS's liability is limited to the typical damage foreseeable at the time of conclusion of the contract. Material contractual obligations are obligations whose fulfilment is essential to the proper performance of the contract and on whose fulfilment the user may regularly rely.
8.5. Otherwise, RRDS's liability for slight negligence is excluded, in particular for damage resulting from unavailability of the PLATFORM, loss of data or inaccurate metrics. The above limitations also apply in favour of the legal representatives and vicarious agents of RRDS.
8.6. Claims of the user for damages become time-barred one year from the statutory commencement of the limitation period. This does not apply to claims under Clause 8.3, for which the statutory limitation periods apply.
9. Data Protection
9.1. RRDS processes the personal data arising from registration and use (in particular contact data, login data, usage logs and the acceptance documentation under Clause 3.4) to provide the PLATFORM and to handle the business relationship. In addition, the privacy policy of RRDS in its current version applies, available at rrds.de/datenschutz/.
9.2. To the extent the user transmits personal data of third parties to RRDS via the PLATFORM, or RRDS obtains access to systems of the user in which personal data is processed, the parties conclude a data processing agreement pursuant to Art. 28 GDPR before processing begins. RRDS provides a template for this purpose.
10. Term, Suspension and Termination
10.1. Access is granted for an indefinite period. Either party may terminate access at any time without notice in text form.
10.2. RRDS may temporarily suspend or permanently terminate access if the user breaches these Terms of Use, misuse is suspected, the access has not been used for more than twelve months, or the business relationship ends.
10.3. Ongoing orders are not affected by termination of access; they are processed in accordance with the General Terms and Conditions. Clauses 4.3, 5 and 12 survive termination.
11. Amendments to the Terms of Use
11.1. RRDS may amend these Terms of Use, in particular to adapt to changed functions, legal situations or market conditions. Amendments are displayed to the user at the next login together with an indication of the amended clauses.
11.2. Amendments take effect when the user accepts them at login. If the user does not accept the amendments, the user may no longer use the PLATFORM and access ends; ongoing orders remain unaffected in accordance with Clause 10.3.
11.3. The current version of these Terms of Use is available at rrds.de/nutzungsbedingungen. Each version is additionally and permanently available at a URL bearing its version date; the version most recently accepted by the user is authoritative.
12. Final Provisions
12.1. The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
12.2. If the user is a merchant (Kaufmann) within the meaning of the German Commercial Code (HGB), a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from or in connection with the use of the PLATFORM is the registered office of RRDS. RRDS is also entitled to sue the user at the user's general place of jurisdiction.
12.3. The contract language is German. Foreign-language versions are for information purposes only; in the event of discrepancies, the German version prevails.
12.4. Individual amendments and additions to these Terms of Use must be made in text form.
12.5. Should individual provisions of these Terms of Use be or become invalid in whole or in part, the validity of the remaining provisions remains unaffected.
